We think of Merger and Acquisition transactions (“M&A”) as those involving businesses with at least $5,000,000 to $10,000,000 in annual revenue. Businesses of this magnitude are likely to be acquired by a strategic buyer or a financial buyer.  Strategic buyers are likely other operating companies; financial buyers are likely institutional in nature, such as private investment funds or family offices of high net worth individuals.  These buyers simply have more financial resources to devote to larger transactions. Aside from the type of buyer a business is likely to attract, there generally is an inverse relationship between the size of a company and the number of potential buyers. This influences how a business is marketed. We tailor our marketing approach to the opportunity before us.

Larger companies are more likely to operate multiple business lines, operate in more than one state, or both.  These characteristics give rise to challenges and issues not encountered with smaller businesses operating in smaller geographies.  A few examples include more complicated due diligence, regulatory issues, and multi-state tax considerations. Larger or more diverse companies may also offer opportunities to maximize the seller’s profit that won’t be found with smaller businesses.  This merits exploration.
